MyLinguaMeeting Terms of Service

Welcome to MyLinguaMeeting ("MyLinguaMeeting," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of the MyLinguaMeeting website, platform, and services (collectively, the "Platform").

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Platform. By using MyLinguaMeeting, you represent that you meet this requirement and have the legal capacity to enter into this agreement.

The Platform is not intended for users under 18. We do not knowingly collect personal information from minors. If you are a parent or guardian and believe your child has provided information to us, please contact us immediately.

We may refuse service or terminate accounts if eligibility requirements are not met.

2. Nature of the Platform

MyLinguaMeeting provides a technology platform connecting independent learners with language coaches for live online conversation sessions.

  • Coaches are independent contractors and are not employees, agents, or representatives of MyLinguaMeeting.
  • Coaches are solely responsible for the content and quality of their sessions.
  • MyLinguaMeeting is not a party to agreements between learners and coaches.
  • MyLinguaMeeting facilitates connections but does not guarantee language proficiency, fluency, or specific educational results.

Sessions must be used for language learning and conversation practice. MyLinguaMeeting reserves the right to investigate and take action on sessions reported as being used for purposes outside the scope of language education.

3. Account Registration and Security

To access the Platform, you must provide accurate and complete information.

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity under your account.
  • Promptly notifying us of unauthorized use.

We may suspend or terminate accounts for suspected fraud, security concerns, or violations of these Terms.

4. Payments, Billing, and Refunds

4.1 Fees

You agree to pay all applicable fees and taxes (including VAT/GST where applicable). Prices may change at any time but do not affect previously confirmed purchases.

4.2 Learner Cancellation and Rescheduling

  • Learners may cancel or reschedule a confirmed session at least 12 hours before the scheduled start time for a 100% refund or account credit.
  • Cancellations made less than 12 hours before the scheduled session, or no-shows, will result in forfeiture of the session fee.
  • If a coach fails to attend a confirmed session, learners receive a full refund or account credit.

4.3 Coach Cancellation and No-Shows

  • Coaches must honor all confirmed sessions. If a coach must cancel, they should do so at least 12 hours in advance through the Platform.
  • Repeated cancellations or no-shows by coaches may result in reduced visibility on the Platform, suspension of booking privileges, or account termination.
  • Coaches who fail to attend a confirmed session without advance notice may be subject to penalties, including forfeiture of future session fees or removal from the Platform.

4.4 Payment Processing

Payments are processed by third-party providers. MyLinguaMeeting is not responsible for errors or disputes arising from payment processors. Chargebacks or fraudulent payments may result in account suspension or termination.

4.5 Fraud & Risk

We may withhold payments, issue refunds, or adjust balances in cases of suspected fraud, abuse, or policy violations.

5. User Conduct

All users—learners and coaches—agree not to:

  • Harass, abuse, threaten, or discriminate against others.
  • Share unlawful, defamatory, obscene, or infringing content.
  • Impersonate others.
  • Circumvent security measures.
  • Use the Platform for unauthorized commercial purposes.
  • Record sessions without the explicit consent of all participants or in violation of applicable law.
  • Use sessions for purposes other than language learning and conversation practice.

We reserve the right to investigate reports of misconduct. Users who engage in inappropriate behavior may be warned, suspended, or permanently removed from the Platform at our sole discretion.

6. Coach-Specific Terms

In addition to all other provisions of these Terms, coaches agree to the following:

6.1 Independent Contractor Status

Coaches are independent contractors and not employees of MyLinguaMeeting. Coaches are responsible for their own equipment, workspace, and internet connection. MyLinguaMeeting does not control the manner or method by which coaches provide sessions, only the standards of conduct and quality expected on the Platform.

6.2 Session Standards

Coaches agree to:

  • Provide sessions that are professional, respectful, and focused on language learning.
  • Arrive on time for scheduled sessions.
  • Communicate promptly with learners regarding any scheduling issues.
  • Maintain accurate profile information, including qualifications and availability.

6.3 Payments to Coaches

Coaches will receive payment according to the payout schedule and methods communicated on the Platform. MyLinguaMeeting reserves the right to withhold or adjust payments in cases of suspected fraud, policy violations, or disputes.

6.4 Taxes

Coaches are solely responsible for reporting and paying all applicable taxes on compensation received through the Platform. MyLinguaMeeting does not withhold taxes and may provide tax documentation as required by law.

7. Intellectual Property

All Platform content, software, branding, and materials are owned by MyLinguaMeeting or its licensors.

User-generated content—such as profile information, reviews, and feedback—remains your property. By submitting such content, you grant MyLinguaMeeting a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute that content for the purpose of operating, promoting, and improving the Platform.

Sessions are live and are not recorded or retained by MyLinguaMeeting. Any recording of sessions by users without consent is prohibited.

We respect copyright and comply with DMCA-style takedown procedures for reported infringement. To report a copyright concern, contact us at support@mylinguameeting.com.

8. Non-Circumvention

Users—both learners and coaches—agree not to solicit or arrange coaching sessions outside the Platform to avoid fees.

This includes exchanging personal contact information for the purpose of booking sessions outside MyLinguaMeeting.

Violations may result in account termination, forfeiture of any remaining account credits or pending coach payouts, and, where applicable, legal action to recover lost fees.

9. Session Quality Disputes

If a learner is dissatisfied with the quality of a session, they may report the issue within 48 hours of the session's scheduled end time.

MyLinguaMeeting will review the report and may, at its sole discretion:

  • Issue a partial or full refund or account credit to the learner.
  • Counsel or warn the coach.
  • Suspend or terminate the coach's account for repeated quality issues.

MyLinguaMeeting's determination is final and binding on both parties.

10. Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, store, and protect your personal information.

By using the Platform, you consent to our data practices as described in the Privacy Policy. If you do not agree to the Privacy Policy, you must discontinue use of the Platform.

11. Indemnification

You agree to indemnify and hold harmless MyLinguaMeeting, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms or applicable law.
  • Your interactions with coaches, learners, or other users.
  • Your infringement of any intellectual property or other rights of any third party.
  • Any content you submit, post, or transmit through the Platform.

12. Disclaimer of Warranties

The Platform is provided "as is" and "as available." To the maximum extent permitted by law, MyLinguaMeeting disclaims all warranties, express or implied, including but not limited to:

  • Merchantability or fitness for a particular purpose.
  • Accuracy, completeness, or reliability of content.
  • Security or uninterrupted availability.
  • Educational outcomes, language proficiency, or fluency.

MyLinguaMeeting does not warrant that the Platform will be error-free or that defects will be corrected.

13. Limitation of Liability

To the fullest extent permitted by law:

  • MyLinguaMeeting is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
  • Our total aggregate liability to any individual user—whether learner or coach—arising from or related to the Platform is limited to the amount that user paid to or received from MyLinguaMeeting in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability; in such cases, our liability will be limited to the greatest extent permitted by law.

14. Release of Claims

You release MyLinguaMeeting from any and all claims, demands, and damages (actual and consequential) arising out of or in any way connected with disputes between learners and coaches, or between users and any third party.

This release includes, but is not limited to, disputes over session quality, scheduling, payment, conduct, or personality conflicts.

15. Force Majeure

We are not liable for any delay or failure in performance due to events beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, internet or telecommunications outages, government actions, pandemics, or public health emergencies.

16. Tax Responsibilities

Coaches are solely responsible for reporting and paying all applicable taxes on any compensation received through the Platform.

Learners are responsible for compliance with any local tax regulations applicable to services purchased through the Platform.

MyLinguaMeeting does not provide tax advice and recommends consulting a qualified professional regarding your tax obligations.

17. Account Suspension and Termination

We may suspend or terminate your account at any time, with or without notice, for reasons including but not limited to:

  • Violations of these Terms.
  • Suspected fraud, abuse, or illegal activity.
  • Compliance with law, regulation, or legal process.
  • Mitigation of reputational, operational, or security risk.

Upon termination:

  • Learners forfeit any unused credits or prepaid session balances, except as required by law.
  • Coaches forfeit any pending payouts if termination is due to policy violations or fraud.
  • Obligations incurred prior to termination survive.

You may terminate your account at any time by contacting support@mylinguameeting.com.

18. Electronic Communications

By using the Platform, you consent to receive communications from us electronically, including emails, in-app notifications, and posted notices.

You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of law principles.

19.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at support@mylinguameeting.com to attempt to resolve any dispute informally. We will attempt to resolve the matter within 30 days.

19.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute arising from or relating to these Terms or the Platform will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Arbitration will take place in Houston, Texas, or remotely at your election. The arbitrator's decision will be final and binding.

19.3 Arbitration Opt-Out

You may opt out of the arbitration agreement by sending written notice to support@mylinguameeting.com within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out of arbitration.

19.4 Class Action Waiver

You agree to resolve disputes with MyLinguaMeeting on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding, except where prohibited by applicable law.

19.5 Jury Trial Waiver

To the extent permitted by law, you waive any right to a jury trial in any legal proceeding arising out of or related to these Terms.

20. Export and Sanctions Compliance

You represent and warrant that you are not located in, or a resident or national of, any country subject to U.S. trade sanctions, and that you are not on any U.S. government list of prohibited or restricted parties.

21. Modifications to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Post the updated Terms on the Platform with a new Effective Date.
  • Notify you via email or in-app notification at least 30 days before the changes take effect.

Your continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform before they take effect.

22. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

23. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and MyLinguaMeeting regarding the Platform and supersede all prior agreements and understandings.
